Payment terms: Invoices are raised on completion of each transaction, payable in full within an agreed credit period, without deduction, withholding, or dispute. Payment security: Post-dated cheques are issued by the client as continuing security for payment obligations, to be honoured on presentation. Dishonour, non-realization, or stoppage of any cheque is treated as a material breach, entitling the provider to recover dues with interest, suspend dealings, and pursue legal remedies, with all related costs reimbursed by the client. Commercial terms: Business is routed through the service provider on a best-efforts basis, with margins negotiated case-by-case rather than fixed in advance. Non-circumvention: Both parties agree not to bypass each other in relation to business opportunities, customers, or contacts introduced through the relationship an obligation that survives beyond the term of the agreement. Representations, default, and remedies: Both parties confirm their authority to enter the agreement and the accuracy of information provided. Defined events of default including payment failure, cheque dishonour, or breach of terms trigger the provider's rights to recovery, suspension, or termination of the arrangement. This structure reflects a standard credit-and-commercial framework used to formalize trust-based trading relationships, balancing flexibility in day-to-day dealings with strong payment security and recovery protections.
