🌟 Ever thought about this? We invented the concept of companies, transforming them into separate legal entities. This brilliant stroke of genius means that if a company can’t pay its debts, its creditors can’t go after the individual members. Why? Because they’re shielded by a fascinating principle known as the veil of incorporation.
Imagine a fictional veil that separates the company from its members—so compelling that courts usually honour this invisible barrier. But what happens when this veil needs to be lifted?
🕵️‍♂️ Enter Logic: While the corporate veil is generally respected, there are exceptional situations where it must be pierced to prevent misuse or abuse. A prime example is the case of Conway vs. Ratiu (2006) 1 All ER 571, where His Lordship argued for lifting the corporate veil when circumstances demand it.
Here in Kenya, our Companies Act takes a slightly different approach. Instead of focusing on piercing the corporate veil, it assigns liability to directors and officers in specific instances of corporate misconduct.
